RAPID REVIEWS Terms and Conditions Effective Date: March 31, 2026
1. Acceptance of Terms
By engaging Rapid Reviews ("Company," "we," "us," or "our") for any services, you ("Client") agree to be bound by these Terms and Conditions in full. If you do not agree to these terms, you may not use our services.
2. Description of Services
Rapid Reviews provides SMS-based review generation and reputation management services to businesses. This includes sending automated text messages to a Client's customers requesting that they leave a review of their experience with the Client's business on platforms such as Google. We act solely as a third-party service provider and do not guarantee any specific number of reviews, star ratings, or business outcomes.
3. Client Obligations
By using our services, you agree to the following:
(a) Lawful Contact Lists. You will only submit phone numbers belonging to individuals who have a pre-existing relationship with your business and who have provided prior express written consent to receive text messages from you or on your behalf. You will not submit numbers purchased from third-party list brokers or obtained through any unlawful means.
(b) TCPA Compliance. You are solely responsible for ensuring your contact lists comply with the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, and all applicable federal, state, and local laws governing SMS marketing and electronic communications.
(c) Accurate Information. You will provide accurate and truthful information about your business and your customers. You will not use our services to solicit fake, incentivized, or otherwise fraudulent reviews, as this violates the terms of Google and other review platforms.
(d) Cooperation. You will cooperate with Rapid Reviews in good faith and provide all information reasonably necessary for us to deliver our services effectively.
4. Prohibited Uses
You may not use our services to:
(a) Send messages to individuals who have previously opted out or requested not to be contacted.
(b) Solicit reviews from individuals who are not genuine customers of your business.
(c) Harass, threaten, or send unsolicited messages to any individual.
(d) Violate any applicable law, regulation, or third-party platform policy.
(e) Engage in any activity that could expose Rapid Reviews to legal liability.
Rapid Reviews reserves the right to terminate services immediately and without refund if any prohibited use is detected.
5. Payment Terms
Payment terms, pricing, and billing schedules are as agreed upon between Rapid Reviews and the Client at the time of engagement. All fees are non-refundable unless otherwise stated in writing. Rapid Reviews reserves the right to suspend services for any account with outstanding unpaid balances.
6. Consent Warranty
By submitting a contact list to Rapid Reviews, you expressly represent and warrant that:
(a) Every individual on the list has provided prior express consent to receive SMS messages from your business.
(b) Your collection and storage of that consent complies with all applicable laws.
(c) You will maintain documentation of that consent and provide it to Rapid Reviews upon request.
Any breach of this warranty is solely your responsibility, and you agree to indemnify Rapid Reviews for any resulting claims or damages.
7. Opt-Out Management
Rapid Reviews will include opt-out instructions in every SMS message sent on your behalf. Any consumer who replies STOP will be immediately added to a suppression list and will not be contacted again. You agree not to re-submit opted-out numbers to our platform under any circumstances.
8. Intellectual Property
All systems, software, templates, processes, and materials developed or used by Rapid Reviews in delivering its services remain the sole intellectual property of Rapid Reviews. Nothing in these Terms grants you any license or ownership rights over our technology or proprietary methods.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, RAPID REVIEWS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOSS OF BUSINESS, OR REPUTATIONAL HARM, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES.
IN NO EVENT SHALL RAPID REVIEWS' TOTAL CUMULATIVE LIABILITY TO YOU EXCEED THE TOTAL FEES YOU PAID TO RAPID REVIEWS IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
10. Indemnification
You agree to indemnify, defend, and hold harmless Rapid Reviews and its owners, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, fines, penalties, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of our services; (b) your breach of these Terms and Conditions; (c) your violation of any applicable law or regulation; (d) any claim by a consumer that you lacked authorization to send them communications; or (e) any dispute between you and a consumer or third party.
11. Disclaimer of Warranties
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT OUR SERVICES WILL MEET YOUR SPECIFIC BUSINESS GOALS, THAT ANY PARTICULAR NUMBER OF REVIEWS WILL BE GENERATED, OR THAT RESULTS WILL BE UNINTERRUPTED OR ERROR-FREE.
12. Termination
Either party may terminate the service relationship at any time with written notice. Rapid Reviews reserves the right to terminate immediately and without notice if the Client is found to be in breach of these Terms, particularly with respect to consent and compliance obligations. Upon termination, all outstanding fees remain due and payable.
13. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Virginia.
14. Changes to These Terms
Rapid Reviews reserves the right to update these Terms and Conditions at any time. Updated terms will be posted at rapidreviews.co with a revised effective date. Continued use of our services after any changes constitutes your acceptance of the updated Terms.
